摘 要

21世纪，经济飞速发展，企业竞争日益激烈，企业如果不具备一定的技术实力，必然难以生存和发展，技术联盟应运而生。技术联盟是知识经济时代，企业与科研机构、高等院校及其他企业开展合作创新的一种主流模式。技术联盟也是战略联盟的一种类型。

本文将在阅读现有文献、研究的基础上，回顾有关技术联盟、联盟治理、治理模式等方面的现有文献，并对其进行文献综述；其次对技术联盟的国内外发展现状和技术联盟治理模式特征进行归纳总结，并且提取出投资主体和组织性质两个标准，按此标准进行分类；从这两个维度对治理模式进行分类并加以定义技术联盟的公共型、私有型、混合型和网络型等治理模式，研究不同治理模式的主体特征和网络特征等特点，再比较分析它们在受益排他性、消费竞争性等方面的差异，归纳概括不同模式的区别和特征。接着选取国内外比较典型的技术联盟案例，按照本文提出的分类标准对它们进行剖析和归类，总结出各联盟的具体特征并区别，运用实例来验证前文提出的观点。最后，通过总结全文提出几点研究结论和对想要选择技术联盟的企业提出一些建议和启示。

The Case Study of Governance Models of Technology Alliance

Abstract

In twenty-first Century, the rapid economic development, enterprise competition is increasingly fierce, if the enterprise does not have a certain technical strength, it will be difficult to survive and develop, the technical alliance came into being. Technology alliance is a main mode of cooperation and innovation in the era of knowledge economy, enterprises and scientific research institutions, institutions of higher learning and other enterprises. Technology alliance is also a type of strategic alliance.

This paper will be based on reading existing literature, review the existing literature on technical alliance, alliance governance, governance mode, and a literature review of the second; on the technology alliance's domestic and foreign development status and characteristics of technology alliance governance mode is summarized, and the extracted investment main body and the nature of the organization two the standard were classified from the two dimensions of technology alliance governance mode; from the two dimensions of governance model are classified and defined in the technical alliance of public and private type, mixed type and network type management mode, study on different governance modes the main characteristics and network characteristics, and comparative analysis they benefit from exclusive and competitive consumer differences, summarizes the differences and characteristics of different modes. Then the selected domestic and foreign typical technology alliance case, according to the classification criteria of them for analysis and classification, summed up the Union's specific characteristics and difference, application examples to verify the above point of view. Finally, summarizes the full text to draw the conclusion of the study and promote the development of China's technology alliance policy implications.

第一章 导论

1.1 研究背景

在经济全球化的今天，市场竞争日益激烈，消费者需求不断变化，企业如果不具备一定的技术实力，必定难以生存和发展，技术联盟应运而生。因竞争需要，技术日新月异，产品生命周期大大缩短，企业独自创新需要承担沉重的成本压力，风险也极高，而技术联盟可以促进技术资源互补、减少成本压力，规避风险。研究国内技术联盟案例，很大意义上为企业谋求创新发展提供一条出路。技术联盟从出现至今三十多年，案例不乏成功者或失败者。相对国外的研究，国内学者案例分析严重不足，更偏好采用规范性研究。

技术联盟是知识经济时代，企业与科研机构、高等院校及其他企业开展合作创新的一种主流模式。技术联盟是战略联盟的一种类型，从区域分布来看，美国、日本、西欧等发达国家或地区较为集中。对其治理模式开展研究对于提升企业创新能力，能够很大意义上提高企业的创新能力和创新效率，促进传统产业转型升级。
