摘 要

随着电子信息技术的飞速发展，电子提单的优势愈加明显。电子提单的推广已经成为国际海上贸易领域的必然发展趋势，那么目前对电子功能的研究将是非常有必要的。从提单的三大功能来说，电子提单不难实现原海运提单作为货物收据和运输合同证明的两大功能，因为其只是单纯的信息传输而不涉及权利转移，故本文在此仅对电子提单物权凭证功能的实现做深入探讨。本文共分为四个部分。首先，本文将对物权凭证功能概念的内涵及其性质做简要的论述，主要介绍一下目前理论界针对提单物权凭证性质的几种观点，主要包括所有权凭证说和占有权凭证说。其次，分析一下提单电子化后所应具备的功能，同时指出目前提单在电子化过程中所面临的法律、技术两个方面的障碍。之后，向大家介绍目前国内外针对电子提单实践的尝试与探索，从SeaDocs项目到CMI规则再到Bolero模式，吸取电子提单在实际投入应用时所遭遇的教训并从中借鉴相应的解决方案。最后是针对电子提单物权凭证功能实现的研究，也是本文的核心部分，主要从电子提单的流通与担保两个角度进行分析。

引言

至今为止海上国际贸易经历过两次重大变革。首次革命由十九世纪蒸汽机船在美国的问世而拉开帷幕。蒸汽机船的问世使得海上运输在海面上的行驶速度和安全系数有了显著地提升，从而推动了提单的快速推广且奠定了其在跨国海事合作中的核心地位。第二次革命的起点在二十世纪六十年代，具体主要体现在以集装箱为核心地位的现代运输科技的进步。因为现代海上运输科技进步迅猛，同时集装箱的使用又大大的提升了海上货物装载的效率，因此海上运输的周期大幅度减小，在港装卸耽搁的时间也大大减少，但传统的纸质提单传递速度并没有显著地提升，纸质提单已无法满足今日跨国海上贸易的需要，电子提单应运而生。传统纸质提单的作用包含以下几点：证明当事人间运输合同的存在，证明承运人已从托运人处接收货物并装船以及证明提单所记载货物所有权或占有权。虽然只是媒介形式发生了变化，但电子想要完全继承纸质提单的这三大功能，离不开在现行海上贸易领域的理论研究与长期实践。

一、传统提单的物权凭证功能

（一）物权凭证功能的内涵

纸质提单有三个功能。其分别是：国际海上运输合同的证明、承运人接收货物并装船的证明和海上运输货物的物权凭证。若想充分了解提单的物权凭证功能，那我们首先要对物权凭证的定义来做个界定。

物权凭证的概念并非我国法学界的概念，而是源于英美法学中的“document of title”一词。英、美两个国家对于“document of title”的解释并不一样，英国是从提单本身对货物的占有和控制角度来阐释概念，与之相比美国更倾向于从提单持有者所享受的权利范围这个角度去阐释的。^[1]我的观点是，这个概念想表达的是拥有提单的主体可以占有提单项下的交易物品，同时得到了支配提单及其买卖商品的权利。
