摘 要
在我国经济体制改革不断深入的大背景下,我国企业正处于互联网、物联网、大数据时代的风口浪尖中,如何面对时代的机遇与挑战,通过完善企业治理结构,提高企业的国内外竞争力已成为当前亟待解决的问题。
在介绍了公司治理结构的相关理论知识,并对目前国内外公司治理结构的基本情况分析以后,本文拟通过苏宁云商发展历程以及对苏宁云商公司治理结构的分析得出苏宁云商的公司治理模式促进了其资源的整合,优化了资本结构。但是因为转型需要有适应的过程,所以在这一过程中,出现了监督机制、激励机制不健全等问题,本文不仅研究了苏宁云商的公司治理结构,还和国美电器和京东商城的公司治理结构进行了对比,得出了一系列结论与启示。

The Research on Corporate Governance of Suning Commerce Group
Abstract
In the context of deepening China's economic system reform, China's enterprises are in the Internet, Internet of things, large data age cusp, how to face the opportunities and challenges of the times, through the improvement of corporate governance structure, improving the competitiveness of enterprises at home and abroad has become an urgent problem to be solved.
After analyzing the basic theoretical knowledge of the corporate governance structure and the actual situation of the corporate governance structure both at home and abroad, this paper attempts to analyze the development process of Suning Commerce Group businessmen and the corporate governance structure of Suning Commerce Group business. The corporate governance model of Suning Commerce Group business has promoted the integration of its resources, optimized the capital structure, expanded the income source, enhanced the customer experience, improved the level of information and optimized the human resource structure. On the other hand, due to the transformation of the need to adapt to the process, in this process, there have been some problems that supervision mechanism, incentive mechanism is not perfect and so on. Aiming at the pros and cons of Suning Commerce Group business management model, this paper makes a comparison between Suning Commerce Group and its industry competitors Gome and Jingdong Mall, to find out Suning Commerce Group business in the corporate governance of the advantages and disadvantages and finally it gives the suggestion of industry development.
